"1 undertake the proposed expansion project. This Amended and Restated Joint <br /> 2 Exercise of Powers Agreement is therefore essential to LAVWMA's ability to <br /> 3 carry out.' its public purposes and is intended to be a contract or obligation <br /> 4 within the meaning of Government Code Section 53511 subject to validation <br /> 5 pursuant to Code of Civil Procedure Section 860 et seq. The parties intend to <br /> and shall validate this Amended and Restated Joint Exercise of Powers <br /> 7 Agreement pursuant to Code of Civil Procedure Section 860 et seq. <br /> <br /> 8 Paragra_uh 6. Method. The Member Agencies will accomplish the purposes set <br /> 9 forth in paragraph 5 in the manner set forth in this Agreement. <br /> <br />10 Para_Lrraph 7, Board of Directors. <br /> <br />11 7.1 DesiL_~nation of Board. LAVWMA shah be administered by a Board of <br />12 Directors (sometimes referred to as "Board") which shall be the governing <br />13 body of LAVWMA and shall be selected as set forth in this section. <br /> <br />14 7.2 Primary Directors. Each Member Agency shall appoint two (2) primary <br />15 directors. Each primary director shall be a member of the governing Board of <br />16 said Member Agency. Primary directors shah each have authority to vote on <br />17 matters coming before the Board and shall exercise all other powers contained <br />18 herein or authorized by law. <br /> <br />19 7.3 Alternate Directors. Each Member Agency may appoint alternate directors. <br />20 Each alternate is authorized to act in the absence of a regularly appointed <br />21 primary director with the same powers as a primary director. Each alternate <br />22 director shall also be a mernber of the governing Board of the Member <br />23 Agency. <br /> <br />24 7.4 Terms of Membership. All primary and alternate directors serve until <br />25 replaced by the appropriate appointing jurisdiction. <br /> <br />26 7.5 Agency Officers. The officers of LAVWMA shall consist of a chair and a vice- <br />27 chair, selected from the Board membership by a majority vote of the directors <br />28 present. The Board shall have the power to appoint such additional officers <br />29 as it deems necessary. The chair and vice-chair shall hold office for a period <br />30 of one year commencing July 1st of each and every fiscal year. <br /> <br />31 Paragra_nh 8. Board Meetings. <br /> <br />32 8.1 Regular Meetings. The Board shall determine the frequency of regular <br />33 meetings and shall specify by resolution the date, hour and place at which <br />34 regular meetings shall be held. <br /> <br />35 8.2 Snecial Meetings. Special meetings may be called by the chair, or in the chair's <br />36 a~sence the vice-chair, pursuant to the provisions of Government Code <br />37 Section 54956. <br /> <br /> LAVWMA/JPA/Board6/Clean -2- July 7, 1997 <br /> <br /> <br />
