This Amended and Restated Joint 2 Exercise of Powers Agreement is therefore essential to LAVWMA's ability to 3 carry out.' its public purposes and is intended to be a contract or obligation 4 within the meaning of Government Code Section 53511 subject to validation 5 pursuant to Code of Civil Procedure Section 860 et seq. The parties intend to and shall validate this Amended and Restated Joint Exercise of Powers 7 Agreement pursuant to Code of Civil Procedure Section 860 et seq. 8 Paragra_uh 6. Method. The Member Agencies will accomplish the purposes set 9 forth in paragraph 5 in the manner set forth in this Agreement. 10 Para_Lrraph 7, Board of Directors. 11 7.1 DesiL_~nation of Board. LAVWMA shah be administered by a Board of 12 Directors (sometimes referred to as "Board") which shall be the governing 13 body of LAVWMA and shall be selected as set forth in this section. 14 7.2 Primary Directors. Each Member Agency shall appoint two (2) primary 15 directors. Each primary director shall be a member of the governing Board of 16 said Member Agency. Primary directors shah each have authority to vote on 17 matters coming before the Board and shall exercise all other powers contained 18 herein or authorized by law. 19 7.3 Alternate Directors. Each Member Agency may appoint alternate directors. 20 Each alternate is authorized to act in the absence of a regularly appointed 21 primary director with the same powers as a primary director. Each alternate 22 director shall also be a mernber of the governing Board of the Member 23 Agency. 24 7.4 Terms of Membership. All primary and alternate directors serve until 25 replaced by the appropriate appointing jurisdiction. 26 7.5 Agency Officers. The officers of LAVWMA shall consist of a chair and a vice- 27 chair, selected from the Board membership by a majority vote of the directors 28 present. The Board shall have the power to appoint such additional officers 29 as it deems necessary. The chair and vice-chair shall hold office for a period 30 of one year commencing July 1st of each and every fiscal year. 31 Paragra_nh 8. Board Meetings. 32 8.1 Regular Meetings. The Board shall determine the frequency of regular 33 meetings and shall specify by resolution the date, hour and place at which 34 regular meetings shall be held. 35 8.2 Snecial Meetings.
