<br />AGREEMENT BETWEEN <br />THE TRI-VALLEY CONVENTION AND VISITORS BUREAU <br />AND THE CITY OF PLEASANTON TO <br />ADMINISTER THE TRI-VALLEY TOURISM BUSINESS <br />IMPROVEMENT DISTRICT <br /> <br />THIS AGREEMENT, made and entered into this 6th day of December, 2005, bet"Ween <br />the CITY OF PLEASANTON, a municipal corporation ("City"), and the TRI-VALLEY <br />CONVENTION AND VISITORS BUREAU, a non-profit corporation ("Corporation"); <br /> <br />RECITALS <br /> <br />WHEREAS, CITY and CORPORATION recognize that it is in the best interests of CITY <br />and CORPORATION to promote tourism development; <br /> <br />WHEREAS, Section 36600 et seq. of the Streets and High"Ways Code of the State of <br />Califomia (hereinafter "Code") authorizes City to establish a Tourism Business Improvement <br />District ("District") to promote tourism; <br /> <br />WHEREAS, lodging business ovvners "Within the Tri-Valley Area developed a <br />management district plan (hereinafter "Plan") and submitted signed petitions in support of the <br />Plan from o"Wners paying more than 500/0 of the proposed assessments; <br /> <br />WHEREAS, City requested consent from the Cities of Livermore, Dublin, and San <br />Ramon ("Consenting Cities") to form a District "Within their cities; <br /> <br />WHEREAS, Consenting Cities passed resolutions granting consent to the City to form a <br />District "Within their cities; <br /> <br />WHEREAS, on October 4, 2005, the City Council adopted a Resolution of Intention <br />(hereinafter "Resolution") to form the Tri-Valley Tourism Business Improvement District "Which <br />proposed the establishment of a business improvement district for the purpose of providing <br />lodging businesses "Within the District activities and services as described in the Plan and <br />Resolution ("District Services"); <br /> <br />WHEREAS, on December 6, 2005 the City Council introduced Ordinance No. ~ <br />establishing the Tri-Valley Tourism Business Improvement District and levying an assessment <br />on certain lodging businesses "Within the District (hereinafter "Ordinance"); <br /> <br />WHEREAS, the District may be administered by the Corporation pursuant to a contract <br />bet"Ween the City and the Corporation as provided for in the Ordinance; <br /> <br />WHEREAS, the Corporation represents a large number of lodging business o"Wners <br />"Within the District and possesses the capacity to provide District Services; <br /> <br />Page I of8 <br />
