<br />Resolution No. 05-062 <br />Page 3 <br /> (c) a Second Installment Sale Agreement, between the City and the <br /> Corporation; <br /> (d) a First Assignment Agreement, between the City and the Corporation; <br /> (e) a Subordination Agreement among the City, the Corporation and Citibank <br /> (West), FSB; <br /> (f) an Intercreditor Agreement, among the City, Citibank (West), FSB and the <br /> Trustee; <br /> (g) a Construction Deed of Trust, with Assignment of Rents, Security <br /> Agreement, and Fixture Filing, by the Corporation and the City as trustors, <br /> Citibank Service Corporation, as trustee, and Citibank (West), FSB, as <br /> beneficiary; together with Joinder of Ground Lessor attached as Exhibit B <br /> thereto; <br /> (h) a Ground Lease, between the City and the Corporation; <br /> (i) a Loan Agreement, between the City and the Corporation; <br /> U) a Promissory Note by the Corporation to the City; <br /> (k) a Deed of Trust and Assignment of Rents, among the Corporation, the title <br /> insurance company named therein and the City; <br /> (1) a Regulatory Agreement and Declaration of Restrictive Covenants, between <br /> the Corporation and the City; <br /> (m) a Right of First Refusal Agreement, between the City and the Corporation; <br /> (n) a HELP Loan Agreement, between the City and the Corporation; <br /> (0) a HELP Promissory Note by the Corporation to the City; <br /> (p) a Deed of Trust and Assignment of Rents, among the Corporation, the title <br /> insurance company named therein and the City, provided in connection <br /> with the loan made by the City to the Corporation under the HELP Loan <br /> Agreement listed in (n) above; and <br /> (q) a HELP Regulatory Agreement and Declaration of Restrictive Covenants, <br /> between the Corporation and the City. <br />Section 2.
