ESTOPPEL CERTIFICATE <br /> <br /> Please refer to the documents (the "CCR Documents") described in Exhibit "A" hereto. <br />The undersigned has been informed that WB Bemal LLC, a Delaware limited liability company <br />("Owner"), the owner of a portion of the mixed use development known as Koll Center <br />Pleasanton, as more particularly described on Exhibit "B" (the "Property"), is under contract to <br />sell the Property to WESTWOOD FINANCIAL CORP., or its designee ("Buyer"). The <br />undersigned as a party to the CCR Documents and/or owner of an adjacent property to the <br />Property covered by the CCR Documents, does hereby certify to Buyer, any potential lender of <br />Buyer and their respective successors and assigns (the "Relying Parties"), that as of the date <br />hereof: <br /> <br /> 1. The CCR Documents are in full force and effect and have not been supplemented, <br />amended, modified or superseded since their original execution; and no other agreements or <br />understandings exist between the undersigned and any party with respect to the Property which <br />would in any manner have any effect upon and/or be binding upon the Relying Parties, or any of <br />them. <br /> <br /> 2. To the actual knowledge of the undersigned, there are no uncured defaults under <br />the CCR Documents on the part of the Owner or any other party to the CCR Documents and no <br />events have occurred that, with the giving of notice or passage of time or both, would constitute <br />a default by Owner thereunder. At the present time, to the actual knowledge of the undersigned, <br />Owner has no claims against or disputes with the undersigned under the CCR Documents. All <br />improvements on the Property have been completed in compliance with the CCR Documents, <br />and Owner's current use, maintenance, architecture and operation complies with any use <br />covenants, operating requirements or other covenants, conditions, restrictions or requirements <br />contained in the CCR Documents. <br /> <br /> 3. All monetary obligations due under the CCR Documents to date, if any, have <br /> been fully and currently paid by the undersigned. To the actual knowledge of the undersigned <br /> all monetary obligations of Owner under the CCR Documents, if any, have been paid. <br /> <br /> 4. No controversy presently exists between the Owner and the undersigned, <br /> including any litigation or arbitration, concerning the Property, the CCR Documents or the <br /> performance of the terms thereof or any other matter. <br /> <br /> 5. This Certificate may be relied upon by the Relying Parties, and each of them. <br /> <br /> <br />
