CONTRACT FOR CONSULTANT SERVICES <br /> FOR: <br /> <br /> THIS AGREEMENT is made and entered into this __ day of ., 2005, by and <br />between the CITY OF PLEASANTON, a municipal corporation (hereinafter referred to as the "City"), <br />and whose address is , and telephone number is ., <br />(hereinafter referred to as the "Consultant"). <br /> <br /> WITNESSETH: <br /> <br /> A. Consultant is qualified to provide, and experienced in providing, <br />services and has offered its services for the purposes specified in this Agreement. <br /> <br /> B. In the judgment of the City, it is necessary and advisable to employ the services of <br />Consultant for the purposes provided herein. <br /> <br /> NOW THEREFORE, in consideration of the mutual covenants, agreements and conditions <br />contained herein, City and Consultant agree as follows: <br /> <br /> 1. Consultant's Services. Consultant shall diligently perform the services and furnish the <br />materials, reports, drawings, and related materials as hereinafter set forth: <br /> <br /> a. Consultant shall perform all work described in Exhibit "A", Scope of Work, <br /> attached hereto and incorporated herein by this reference. <br /> <br /> b. Consultant shall meet with the technical staff of the City, other pertinent <br /> agencies, and/or landowners as necessary to complete the scope of work <br /> outlined in Section 1 (a) above. <br /> <br /> 2. City Services. In order to assist Consultant in this work, City shall provide, if necessary, <br />title reports, any existing plans of the area on file, necessary direction and plan checking within a <br />reasonable time. <br /> <br /> 3. Staff. The Project Manager for Consultant shall be , who may not be <br /> replaced without written consent of City. <br /> <br /> 4. Sufficiency of Consultant's Work. All reports, drawings, plans and specifications <br /> prepared for City shall be adequate and sufficient to meet the purposes for which they are prepared. <br /> <br /> 5. Ownership of Work. All reports, drawings, plans and specifications, maps, designs, <br /> work data, and all other documents completed or partially completed by Consultant in the performance of <br /> this Agreement shall become the property of City. <br /> <br /> 6. Terms. Time is of the essence. Consultant shall begin work ,2005. The <br /> work as described in Exhibit "A", Scope of Work, shall be completed by ~ 2005 dependent <br /> upon review time and <br /> <br /> 7. Compensation. For the services to be rendered hereunder, City shall pay Consultant on <br /> a time-and-materials basis, not to exceed $ ., based on rate schedule per attached Exhibit "B". <br /> Partial payment shall be made on a monthly basis in proportion to the percentage of work completed, upon <br /> receipt of Consultant's invoice and the approval of the <br /> <br /> a. Invoices submitted to City for payment must contain a brief description of work <br /> performed, percentage of work completed, percentage of contract time used, percentage <br /> of contract amount expended and City reference number *Include contract no. and <br /> account no. Payment shall be made within thirty (30) days of receipt of Consultant's <br /> invoice. <br /> <br /> <br />
