The Contractor's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. Workers' Compensation and Employers Liability Coverage The insurer shall agree to waive ail rights of subrogation against the City of Pleasanton, its officer, officials, employees, or volunteers for losses arising from work performed by the Contractor for the City of Pleasanton. All Coverage's Each insurance policy required by this clause shall be endorsed to state the coverage shall not be suspended, voided, canceled by either party, reduced in coverage or in limits except after thirty days prior written notice by certified mail, return receipt required, has been given to the City of Pleasanton. E. ACCEPTABILITY OF INSURERS Insurance is to be placed with insurers with the Best's rating of no less than B+. VERIFICATION OF COVERAGE Contractor shall furnish the City of Pleasanton with certificates of insurance and with original endorsements effecting coverage required by this clause. The certificates and endorsements for each insurance policy are to be signed by a person authorized by that insurer to bind coverage on its behaif. The certificates and endorsements are to be on forms provided by the City of Pleasanton. Where by statute, the City of Pleasanton workers' compensation-related forms cannot be used, equivalent forms approved by the State Insurance Commissioner are to be substituted. All certificates and endorsements are to be received and approved by the City of Pleasanton before work commences. The City of Pleasanton reserves the right to require complete, certified copies of all required insurance policies, at any time G. SUBCONTRACTORS Contractor shall include all subcontractors as insurers under its policies or shall furnish separate certificates and endorsements for each subcontractor. All coverage's for subcontractors shall be subject to all of the requirements states herein. INDEMNIFICATION The Contractor shall save, keep, hold harmless indemnify and defend the City its officers, agent, employee and volunteers fi.om all damages, liabilities, penalties, costs, or expenses in law or equity that may at any time arise because of damages to property or personal injury received by mason of, or in the course of performing work which may be occasioned by a willful or negligent act of omissions of the Contractor, or any of the Consultant's officers, employees, or agents or any subcontractor.
