b) to require LIFETIME TENNIS to vacate the Facilities. <br /> <br /> 11.02.2 LIFETIME TENNIS's Rights upon Cancellation. Upon such cancellation, <br />LIFETIME TENNIS shall be entitled to any unpaid portion of the Fixed Management Fee, <br />Incentive Fee only to the extent that Tennis Revenues may have already exceeded $300,000 for <br />that Operating Year, and Pro-Shop Revenues minus Pro-Shop rental, attributable to <br />performance that occurred prior to the cancellation date, less any damages incurred by CITY as <br />a result of LIFETIME TENNIS's failure to fully satisfy LIFETIME TENNIS's obligations <br />under this Agreement. <br /> <br />12.0 TRANSITION PROCEDURES. <br /> <br />12.01 Contract Transition Period. The "Contract Transition Period" shall mean: (i) the <br />three (3) month period immediately prior to expiration of the term; (ii) the period from the date <br />CITY gives notice of default under Article 10.0 until the date of termination; or (iii) the period <br />from the date the CITY gives notice of cancellation under Article 11.0 until the date of <br />cancellation. <br /> <br />12.02 Contract Transition Procedures. During the Contract Transition Period: <br /> <br /> a) LIFETIME TENNIS shall allow CITY and others to interview and discuss <br />employment opportunities with LIFETIME TENNIS's employees and subcontractors. <br /> <br /> b) LIFETIME TENNIS shall not transfer any Management Staff without the <br />consent of Director. <br /> <br /> c) LIFETIME TENNIS and CITY shall refrain from coercing, threatening or <br />harassing any employee who expresses interest in being employed by CITY, LIFETIME <br />TENNIS, or other party after the Agreement has expired, has been terminated or cancelled. <br /> <br /> d) LIFETIME TENNIS and CITY shall cooperate in good faith on post-contract <br />support services, data management, inventory control, transfer of employees and other issues <br />necessary and appropriate to ensure smooth transition of operating responsibilities from one <br />party to another. Nothing in this paragraph shall be construed to require CITY to hire <br />additional personnel or spend additional monies. <br /> <br /> e) LIFETIME TENNIS shall deliver to CITY all records and information related to <br />tournaments, lessons and other events booked at the Facilities for the Contract Transition <br />Period, or any time thereafter. <br /> <br /> f') LIFETIME TENNIS shall deliver to CITY current copies of all contracts, <br />permits and licenses affecting Facilities. <br /> <br /> g) LIFETIME TENNIS shall transfer possession of the Facilities, Furnishings and <br />Equipment, Supplies, software, databases, books, records and materials purchased, prepared or <br /> <br /> 21 <br /> <br /> <br />
