Page 1 of 3 FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT [General Advice on Labor and Employment Matters] THIS FIRST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT (“Agreement”) is entered into this 7th day of January 2026, between the CITY OF PLEASANTON, a municipal corporation (“City”), and BURKE, WILLIAMS & SORENSEN, LLP (“Consultant”). RECITALS WHEREAS, the City and Consultant entered into a Professional Services Agreement dated July 1, 2025, (“Agreement”) under which Consultant agreed to provide the City legal advice on labor and employment matters on an as-needed basis for an agreed compensation by the City; and WHEREAS, the parties wish to increase the not-to-exceed total compensation contained in the Agreement by an additional $100,000. AGREEMENT NOW THEREFORE, the City and Consultant agree as follows: 1. The fourth sentence of section 4 of the Agreement, Compensation, shall be amended as follows: “City shall pay Consultant for services rendered pursuant to this Agreement as described more particularly in Exhibit A. The parties acknowledge that Consultant updates its costs each year, and annual updates are automatically incorporated into this agreement. The payments shall be made on a monthly basis upon receipt and approval of Consultant’s invoice. Total compensation for services and reimbursement for costs shall not exceed $200,000.” 2. All other terms and conditions of the Agreement shall remain in full force and effect.
