First Amendment Page 1 <br />FIRST AMENDMENT TO AGREEMENT <br /> <br /> <br />This First Amendment to Agreement ("First Amendment") is entered into this 15th day of <br />January 2026 by the City of Pleasanton ("City") and Architects Orange, LLP, dba AO <br />("Consultant”). <br /> <br />Whereas, on June 24, 2025 the City and Consultant entered into a Professional Services <br />Agreement for site planning services ("Agreement"); and <br /> <br />Whereas, the parties desire to amend the Agreement to incorporate an updated Scope of <br />Work as described in Exhibit A, attached to this First Amendment as Exhibit A; and <br /> <br />Whereas, the updated Scope of Work reduces the total compensation amount from the <br />original not-to-exceed amount of $54,520 to an updated not-to-exceed amount of $40,000; and <br /> <br />Whereas, the parties desire to extend the term of the agreement through December 31, <br />2026; and <br /> <br />Whereas, all references in the Agreement to “Exhibit A” shall mean and refer to the <br />Exhibit A attached to this First Amendment. <br /> <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br /> <br />1. Exhibit A to the Agreement is hereby deleted in its entirety and replaced with <br />Exhibit A attached to this First Amendment as Attachment 1. <br /> <br />2. Section 3. “Term” is amended to update the contract expiration date to December <br />31, 2026. <br /> <br />3. Section 4. “Compensation” is amended to reflect a total not-to-exceed amount of <br />$40,000. <br /> <br />2. This amendment may be executed in multiple counterparts, each of which shall be <br />an original and all of which together shall constitute one agreement. Counterparts <br />may be delivered via facsimile, electronic mail (including pdf or any electronic <br />signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 <br />et seq.), California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 <br />et seq.), or other applicable law) or other transmission method, and any <br />counterpart so delivered shall be deemed to have been duly and validly delivered <br />and be valid and effective for all purposes. <br /> <br />3.
