FIRST AMENDMENT TO AGREEMENT <br />This First Amendment to Agreement ("First Amendment'') is entered into this fourth day of <br />September 2025 by the City of Pleasanton {"City") and Amador-Livermore Valley Historical <br />Society (''Consultant") <br />Whereas, on January 1, 2023, the City and Consultant entered into a Professional <br />Services Agreement (''Agreement"); and <br />Whereas, both parties wish to change the terms. <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br />1. Section 4 of the Agreement is amended as follows: ''Total compensation for services <br />and reimbursement for costs shall not exceed $485,000". <br />2, Exhibit A: Compensation is amended as follows: "For services to be rendered, City <br />shall pay Consultant a payment of: $83,800 on January 5, 2026, and $71,800 on <br />January 5, 2027." <br />2. This amendment may be executed in multiple counterpaits, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterpat'ts may be delivered <br />via facsimile, electronic mail (.including pdf or any electronic signature complying with U.S. <br />federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), Califomla Uniform Electronic <br />Transactions Act (Cal. Civil Code§ 1633.1 et seq.), or other applicable law) or other transmission <br />method, and any counterpa11 so delivered shall be deemed to have been duly and validly <br />delivered and be valid and effective for all purposes. <br />3.
