FIRST AMENDMENT TO AGREEMENT This First Amendment to Agreement ("First Amendment") is entered into this 19th day of August 2025 by the City of Pleasanton ("City") and ENGEO Incorporated. whose address is 2010 Crow Canyon Place, Suite 250, San Ramon, CA 94583, and telephone number is (925)270-7980, ("Consultant"). Whe1·eas, on April 16, 2024the City and Consultant entered into a Design Professional Services Agreement for Storm Damage Repair Sites Design Services ("Agreement"), Contract No. 2024538; and Whereas, the parties desire to amend to the contract, extending the term of the contract to June 30, 2027; Whereas, the parties desire to amend to the contract, adding to the Scope of Work "Exhibit A" the proposal from EN GEO Incorporated dated July 10, 2025 Whereas, the parties desire to amend to the contract, increasing the fee for services from $782,407 to $1,080,732. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1.Section 1 of the Agreement, "Consultant's Services" is amended to include to Exhibit "A", Scope of Work: EN GEO Incorporated "Request for Authorization for 100% Plans, Specifications, and Estimates" dated July 10, 2025. 2.Section 4 of the Agreement," Term" is amended to read: Tem1. The work as described in Exhibit A, Scope of Work, shall be completed by December 31, 2027, unless an extension is approved by the City. 3.Section 5 of the Agreement, "Compensation" is amended to read: Compensation Total compensation for services and reimbursement for costs shall not exceed $1,080,732 unless parties agree pursuant to Section 8, below. 4.This amendment may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. Counterparts may be delivered via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic Transactions Act (Cal.
