Second Amendment Page 1 <br />SECOND AMENDMENT TO AGREEMENT <br /> <br /> <br />This Second Amendment to Agreement ("Second Amendment") is entered into this 1st day of <br />July 2025 by the City of Pleasanton ("City") and Steven Dexheimer (dba DEX Background <br />Investigations) ("Consultant”) <br /> <br />Whereas, on July 1, 2023, the City and Consultant entered into a Professional Services <br />Agreement for background investigation services, as amended by the First Amendment dated <br />April 1, 2024 (collectively the "Agreement"); and <br /> <br />Whereas, the City and the Consultant desire to extend Section 3 of the Agreement, <br />“Term”; and <br /> <br />Whereas, the City and the Consultant desire to adjust Section 4 of the Agreement, <br />“Compensation”; and <br /> <br />Whereas, on July 1, 2025, updates to the Business and Professions Code section 7524 <br />became effective, requiring private investigators to meet the statutory requirements as described <br />in that section. (S.B. 1454); and <br /> <br />Whereas, the Consultant wishes to amend its “Project Proposal” to include those statutory <br />requirements as described in Business and Professions Code section 7524. <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br /> <br />1. Section 3 of the Agreement, "Term” is amended to read: This Agreement shall expire <br />on July 15, 2026. <br /> <br />2. Section 4 of the Agreement, “Compensation” is amended to read: City shall pay <br />Consultant for services rendered pursuant to this Agreement as described more <br />particularly in Exhibit A. The payments shall be made on a monthly basis upon <br />receipt and approval of Consultant’s invoice. Total compensation for services and <br />reimbursement for costs shall not exceed a total of $99,000. <br /> <br />3. Exhibit A, “Project Proposal” is amended as attached, dated July 7, 2025. <br /> <br />4. This amendment may be executed in multiple counterparts, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterparts may <br />be delivered via facsimile, electronic mail (including pdf or any electronic signature <br />complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), <br />California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or <br />other applicable law) or other transmission method, and any counterpart so delivered <br />shall be deemed to have been duly and validly delivered and be valid and effective for <br />all purposes. <br /> <br />5.
