Second Amendment Page 1 <br />SECOND AMENDMENT TO AGREEMENT <br /> <br /> <br />This Second Amendment to Agreement ("Second Amendment") is entered into this 1st day of <br />July 2025 by the City of Pleasanton ("City") and Innovative Claim Solutions, Inc. <br />("Contractor”) <br /> <br />Whereas, on 1st day of July 2021 the City and Contractor entered into the initial <br />Agreement for workers’ compensation administration services, subsequently amended on the 1st <br />day of July 2024 to adjust the Term to June 30, 2025 and Compensation to $875,961 <br />(collectively the "Agreement"); and <br /> <br />Whereas, City and Contractor agree to an extension of the Term of this Agreement and <br />adjustment to the Compensation as described below. <br /> <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br /> <br />1. Section 3 of the Agreement, " Terms" is amended to read: the term is being extended <br />one year to 30 June 2026. <br /> <br />2. Section 4 of the Agreement, " Compensation" is amended to read: the compensation <br />is increasing by a certain amount for a new total compensation amount of $235,429 <br />for year 5. The total compensation of the contract is now $1,111,390. <br /> <br />3. This amendment may be executed in multiple counterparts, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterparts may be delivered <br />via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. <br />federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic <br />Transactions Act (Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission <br />method, and any counterpart so delivered shall be deemed to have been duly and validly <br />delivered and be valid and effective for all purposes. <br /> <br />4.
