ATTACHMENT 1 <br />FIRST AMENDMENT TO AMENDED AND RESTATED <br />EMPLOYMENT CONTRACT CITY MANAGER <br /> <br /> <br /> This First Amendment to Amended and Restated Employment Contract City Manager <br />(“First Amendment”) is made and entered into _____________, 2024, between the City of <br />Pleasanton and Girard “Gerry” Beaudin (“Beaudin”). <br /> <br />RECITALS <br /> <br /> A. City and Beaudin entered into an Employment Contract on April 19, 2022, <br />amended by the First Amendment dated December 20, 2022, and an Amended and Restated <br />Employment Contract City Manager on October 17, 2023 (“Contract”); and <br /> <br /> B. The Mayor and City Council reviewed his performance on July 16, 2024. <br /> <br /> NOW, THEREFORE, in exchange for valuable consideration, the parties agree as <br />follows: <br /> <br />Section 1. Section 14 of the Contract is amended to read as follows: <br /> <br />14. Severance Pay/Benefits. If City decides to terminate this Contract, City <br />shall provide Beaudin with salary and medical/dental insurance benefits for a <br />period of twelve months after the date of the notice of termination. This paragraph <br />will not apply if the City terminates this Contract for conduct which is a felony. <br /> <br />Section 2.
