Fifth Amendment Page 1 <br />FIFTH AMENDMENT TO AGREEMENT <br /> <br /> <br />This Fifth Amendment to Agreement ("Fifth Amendment") is entered into this 5th day of <br />June 2024 by the City of Pleasanton ("City") and Tri-Valley Community Television, a 501c3 <br />non-profit organization ("Consultant”). <br /> <br />Whereas, on July 9, 2020 the City and Tri-Valley Community Television entered into <br />Professional Services Agreement for broadcasting and production services for public meetings <br />(“Agreements”). The First amendment was made on June 18, 2021, the Second Amendment on <br />June 20, 2022, the Third Amendment on July 1, 2023, and 4th Amendment on April 23, 2024. <br /> <br />Whereas, the parties wish to extend the contract term and increase compensation for <br />services through June 30, 2025. <br /> <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br /> <br />1. Section 3. Terms shall extend on the written above date and shall expire on June 30, <br />2025. <br /> <br />2. Section 4. Compensation is amended to increase compensation for services by <br />$30,000.00 in accordance with the 2024-2025 rate card and reimbursement to not exceed <br />$96,037.00. <br /> <br />3. This amendment may be executed in multiple counterparts, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterparts may be delivered <br />via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. <br />federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic <br />Transactions Act (Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission <br />method, and any counterpart so delivered shall be deemed to have been duly and validly <br />delivered and be valid and effective for all purposes. <br /> <br />4.
