<br />Page 3 of 4 <br />8. Business License Requirement: Contractor is required to have a valid City of <br />Pleasanton Business License through the duration of the Agreement and must be <br />obtained prior to the execution of the Agreement. <br /> <br />9. Program Reports: The Contractor shall undertake quantitative and qualitative <br />evaluation of the Statement of Work as specified in the Agreement and shall make <br />Midterm and Final reports to the City via the online reporting system due as indicated the <br />Application Packet or as otherwise specified by the City. <br /> <br />10. Alteration Of Agreement: No alteration or variation of the terms of the Agreement shall <br />be valid unless made in writing and signed by the City and the Contractor, and no oral <br />understanding or agreement not incorporated in this Agreement shall be binding on either <br />party. <br /> <br />11. Termination: The City may terminate this Agreement should Contractor fail to <br />substantially perform the covenants herein contained or upon thirty (30) days written <br />notice. Contractor shall be compensated for services performed to the termination date. <br />Contractor may terminate the Agreement upon thirty (30) days written notice. Contractor <br />shall be compensated for the period during which the Agreement was in effect at a pro <br />rata share of the total grant provided for in this Agreement. <br /> <br />12. Counterparts and Electronic Signatures. This Agreement may be executed in multiple <br />counterparts, each of which shall be an original and all of which together shall constitute <br />one agreement. Counterparts may be delivered via facsimile, electronic mail (including <br />pdf or any electronic signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. <br />Code §7001 et seq.), California Uniform Electronic Transactions Act (Cal.
