<br />REIMBURSEMENT AGREEMENT <br /> <br /> <br />This Reimbursement Agreement for consultant services related to development <br />applications by USL Pleasanton Lakes, L.P. (“Agreement”) is entered into on September 17, <br />2024, between the City of Pleasanton, a general law city (“City”) and USL Pleasanton Lakes, <br />L.P. (“Applicant”). <br /> <br />RECITALS <br /> <br />A. Applicant owns properties in Alameda County adjacent to the City of Pleasanton and has <br />submitted development applications for those properties with Alameda County. The Applicant <br />and the City wish to explore annexation of the properties (the “Project”). <br /> <br />B. In order to explore annexation of the properties, the City will be engaging the services of <br />Ben Noble (Planning Consultant) and Wood Rogers (Engineering Consultant) in order to manage <br />the Project. <br /> <br />C. Applicant agrees to reimburse City for the cost of such Consultant services (“Consultant <br />Costs”). <br /> <br />NOW, THEREFORE, in exchange for valuable consideration, the parties agree as follows: <br /> <br />1. Reimbursement of Consulting Costs. Applicant shall reimburse the City for the <br />Consultant Costs in an initial amount not to exceed $10,000. This Agreement may be amended to <br />require the reimbursement of additional Consultant Costs once those costs are determined. <br /> <br />2. Time and Manner of Reimbursement. Applicant shall make an initial $10,000 payment <br />(the “Deposit”) to the City at the time of entering into this Agreement. All invoices shall be <br />provided by City pursuant to the notice requirements of Section 6, below. <br /> <br />Consulting Costs due to the City pursuant to this Agreement shall be payable to the City of <br />Pleasanton and mailed to the following address within 30 days: <br /> <br />Attention: Ellen Clark <br /> City of Pleasanton Community Development <br />Department <br /> 200 Old Bernal Avenue <br />P.O. Box 520 <br />Pleasanton, CA 94566-0802 <br /> <br />3. Term. This Agreement shall be effective on the date of execution and shall continue <br />until January 31, 2025. <br /> <br />4. Amendments. Any amendment, modification, suspension, or cancellation of this <br />Agreement must be in writing, signed by the City and Applicant. <br /> <br />5. Disputes. Disputes arising under this Agreement shall be filed with the City Manager, <br />who shall be authorized to resolve such disputes.
