Coniact #2022322 <br />SECO}\[D AMEI\IDMENT TO AGREE,ME,NT <br />This Second Amendment to Agr€ement {"Secofld Am€ndment") is entered into this _ day of <br />September 2024, by the City of Pleasanton ("City") and Storu Water Inspection & Maintenance <br />Services, LLC (" Contractor'). <br />Whereas, on November 1,2, 2021, the CiIy and Contractor entered into a Maintenance and Trade <br />Services Agreement to provide maintenance of Debris Separating Babble Box, as amended by the First <br />Am€admant dated Octob€r 10, 2023 to extsnd the terrns (colMively the "Agreement"); and <br />Whereas, the parties desire to amend the Agreement to extend the term through October 30, <br />2025 and increase the total compensation to $45,000. <br />Now, therefore, in exchange for valuable consideration, the receipt ofwhich is hereby acknowledged, <br />the parties agree as follows: <br />1. Section I of the Agreement ("Term') is amended to provide that the A$eement shall <br />exphe on October 30,2025. <br />2. Section 3 ofthe A$eement ("Compensation') Total Compensation for all services and <br />reimbursemefts shall rot excesd $45,000 and Exhibit A Fee Schedule will be updated to <br />reflect an increase in rates as mutually agreed upon by both parties. <br />3. This Second Amendment may be exeouted in multiple counterpaxts, each of which shall <br />be an original and all ofwhich together shall constitute one agreement. Counterparts <br />may be delivered via facsimile, electronic mail (including pdfor any electronic signature <br />complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code $7001 et seq.), Califomia <br />Uniform Electronic Transactions Act (Cal. Civil Code $1633.1 et seq.), or other <br />applicable law) or other transmission method, a:rd any counterpart so delivered shall be <br />deemed to have been duly and validly delivered and be valid and effective for all <br />purposes. <br />4.
