In addition, the insured shall provide thirty <br />(30) days prior written notice to the City of any cancellation, suspension, reduction of <br />coverage or in limits, or voiding of the insurance coverage required by this <br />agreement. City reserves the right to require complete certified copies of policies. <br /> <br />12) Miscellaneous Provisions. <br /> <br />a) This Agreement constitutes the entire understanding between the parties. <br /> <br />b) If any provision of this Agreement is held by a court to be invalid or unenforceable, <br />the remaining provisions shall remain enforceable to the fullest extent permitted <br />by law. <br /> <br />c) This Agreement shall be binding on and inure to the benefit of the successors and <br />permitted assignees of the respective parties. <br /> <br />d) Masters shall not assign or transfer this Agreement without City’s written consent. <br /> <br />e) If either the City or Masters waive a breach of this Agreement, such waiver shall not <br />constitute a waiver of other or succeeding breaches of this Agreement. <br /> <br />f) Any notice or demand required to be given herein shall be made by certified or registered <br />mail, return receipt requested, or reliable overnight mail to the address of the respective <br />parties set forth below: <br /> <br />City: <br /> <br /> <br /> <br /> <br />Masters: <br /> <br />City of Pleasanton <br />Attn: Director of Library and Recreation <br />P.O. Counterparts may <br />be delivered via facsimile, electronic mail (including pdf or any electronic signature <br />complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), <br />California Uniform Electronic Transactions Act (Cal.
