5 <br />DBAC by the Masters and TVMers. <br /> <br />a) City shall not be liable for any Masters debts, lost revenues, or lost profits in any <br />way connected with the use of the DBAC by Masters, or City’s cancellation of <br />Masters use of the DBAC as provided in Section 1.b), above. <br /> <br />11) Insurance. Masters shall maintain throughout the term of this Agreement insurance <br />against claims for injuries to persons or damages to property which may arise from or in <br />connection with Masters, TVMers or Masters invitees use of the DBAC. Masters shall <br />provide City with a certificate of insurance and an additional insured endorsement that <br />names the City of Pleasanton, its officers, employees, agents and volunteers as additional <br />insured. The cost of such insurance shall be borne by Masters. The insurance shall <br />include the following: <br /> <br />a) Minimum Limits of Insurance - Masters shall maintain insurance with limits no <br />less than: <br /> <br />i) General Liability: Two Million Dollars ($2,000,000) combined limit for <br />bodily injury and property damage. <br />ii) Workers' Compensation: Workers' Compensation Insurance for all of <br />Masters employees, all in strict compliance with State laws, and to protect <br />the City from any and all claims. <br /> <br />b) Other Insurance Provisions - The general liability policy shall contain or be <br />endorsed to contain. the following provisions: <br />i) Masters insurance shall be the primary insurance with respect to City, its <br />officers, officials, employees, agents, and volunteers, except for claims <br />arising from the sole negligence of City. <br />ii) Coverage shall state that Masters insurance shall apply separately to each <br />insured against whom a claim is made, or suit is brought, except with <br />respect to the limits of Masters liability. <br /> <br />c) The specific coverage obligations set forth in this Section 10 are minimums only, <br />and the Masters shall have the obligation to provide the minimum coverages stated <br />in this Agreement or such greater or broader coverage, if available in the Masters <br />policies. <br /> <br />d) The Certificate of Insurance shall provide in writing that the insurance afforded by this <br />Certificate shall not be suspended, voided, canceled, reduced in coverage or in limits <br />without providing notice to the City in accordance with California Insurance Code <br />section 677.2 which requires the notice of cancellation to: 1) include the effective date <br />of the cancellation; 2) include the reasons for the cancellation; and 3) be given at least <br />30 days prior to the effective date of the cancellation, except that in the case of <br />cancellation for nonpayment of premiums or for fraud, the notice shall be given no <br />less than 10 days prior to the effective date of the cancellation.
