Docusign Envelope ID : ADE0408F-CC99-4CDB-A878-33580FFB2F7D <br />AGREEMENT BY AND BETWEEN <br />Habitat for Humanity East Bay/Silicon Valley, Inc. <br />AND THE CITY OF PLEASANTON <br />THIS AGREEMENT is made and entered into this 1st day of July , 2024, by and between the City of Pleasanton, a <br />Municipal Corporation (hereinafter referred to as "City"), and Habitat for Humanity East Bay/Silicon Valley, Inc . <br />hereafter referred to as "Contractor"). <br />WHEREAS, the City has ente red into a Grant Agreement with the United States Department of Housing and Urban <br />Development (HUD), for a Community Development Block Grant (CDBG) under the Housing and Community <br />Development Act of 197 4, said funds to be used for CDBG Programs and their eligible activities ; and <br />WHEREAS , the City has entered into a Cooperative Agreement with the County of Alameda to form the Alameda <br />County HOME Consortium to qualify for HOME Investment Partnership Act (HOME) funds, funded by HUD , said <br />funds to be used for eligible HOME activities ; and <br />WHEREAS , the City provides grants to agencies that provide housing and human serv ices primarily to low-income <br />residents through its Hous ing and Human Services Grant (HHSG) program based on fund ing from federal sources <br />such as CDBG and HOME as well as local funding sources ; and <br />WHEREAS, the activities of the Contractor under this Agreement shall be governed by the conditions of the <br />Agreements between the City , HUD , and the County; and including federal regulations for Grants and Agreements <br />set forth in Title 2 Code of Federal Regulations, Part 200 -Uniform Administrative Requirements , Cost Principles , <br />and Audit Requirements for Federal Awards (hereafter "2 CFR part 200 "); and <br />WHEREAS , the City is desirous of contracting with the Contractor for the prov ision of certain services, a description <br />of which is presented in Exhibit A, attached hereto ; and <br />WHEREAS , the Contractor is willing and able to perform duties and render services which are determined by the City <br />to be necessary or appropriate for the welfare of residents of the City ; and <br />WHEREAS , the City desires that such duties and services be provided by the Contractor, and the Contractor agrees <br />to perform such duties and render such services, as more particularly set forth below : <br />NOW THEREFORE , FOR AND IN CONSIDERATION OF THE PROMISES HEREINAFTER MADE , THE <br />CITY AND THE CONTRACTOR DO MUTUALLY AGREE AS FOLLOWS : <br />I. STATEMENT OF WORK <br />A. Contractor shall perform or arrange for the performance of the work under this Agreement in the manner and <br />time provided herein and in accordance with : the budget ; the scope of work and any specifications and <br />drawings ; and all related documents and provisions attached hereto as Exhibits A through F and incorporated <br />herein by reference . <br />B. The City has allocated the sum of $95,000 in City Lower Income Housing Funds (LIHF) ($40,000) and <br />federal HOME Program Funds, CFDA #14.239 ($55,000) to be expended as described in this Agreement. <br />Unless an amendment to this Agreement otherwise provides , that amount shall in no event be exceeded by <br />the Contractor, and the City shall under no circumstances be required to pay in excess of that amount. <br />Page 2 <br />Docusign Envelope ID: 813DC707-E5B0-41F2-A51F-8A2E6CE38AEF
