City shall indemnify, defend, and hold harmless the District and its Board and members thereof, employees, agents, and representatives, from and against any claims for damages resulting from the inaccuracy of any of the above representations. 5. Covenants. The City covenants that it shall not permit any new liens, encumbrances, or easements to be placed on the Property; nor shall the City enter into any agreement regarding the sale, rental, management, repair, improvement, or any other matter affecting the Property that would be binding on the District or the Property after reconveyance. 6. Scheduling and Removal of City Property. a. In recognition of the City's advance scheduling of theater events, the District agrees to continue to allow City to use the property until August 31, 2024. b. The City may store its personal property and equipment on the Property as outlined in Exhibit B. However, upon 60 days advance notice by District, City shall remove such personal property and equipment. c. The Parties agree to cooperate to allow the City, its contractors and agents, entry onto the Property and into Amador Theater to remove City personal property, equipment, and improvements that the City installed at the Amador Theater. 7. This Agreement shall be governed by and interpreted under the laws of the State of California, with venue being the Superior Court of the State of California for Alameda County. 9. Successors and Assigns. The terms and provisions of this Agreement shall extend to and be binding upon and inure to the benefit of the successors and permitted assigns of the respective Parties; provided, however, that neither Party shall have the right to assign its rights or obligations under this Agreement without express written approval of the other Party. 4
