AMADOR THEATER TRANSFER AGREEMENT <br /> BETWEEN <br /> PLEASANTON UNIFIED SCHOOL DISTRICT <br /> AND <br /> CITY OF PLEASANTON <br /> i <br /> 1 <br /> This Amador Theater Transfer Agreement("Agreement") is entered into by and between <br /> the Pleasanton Unified School District, a public school district organized and existing under the <br /> laws of the State of California("District") and the City of Pleasanton, a municipal corporation <br /> existing under the law of the State of California("City"). The District and City may each be <br /> referred to individually as "Party" and together as the "Parties" in this Agreement. <br /> RECITALS <br /> WHEREAS, on January 19, 1988, the City of Pleasanton and the Amador Valley Joint Union <br /> High School District (the "AVJUHSD") entered into an Agreement to Convey Amador Theater <br /> to the City Including Terms and Conditions Regulating the Management and Use (the "1988 <br /> Agreement")whereby the AVJUHSD conveyed by grant deed, see Exhibit A, the Amador <br /> Theater property located on the campus of Amador Valley High School at 1155 Santa Rita Road, <br /> Pleasanton to the City; and <br /> WHEREAS, the 1988 grant deed attached as Exhibit A was subject to the terms and conditions <br /> set forth in the 1988 Agreement; and <br /> WHEREAS, the District is the successor to the Amador Valley Joint Union High School <br /> District; and <br /> WHEREAS, the 1988 Agreement, in Section I.e. provides that: "The District shall have and <br /> retain the right to repurchase the Property for$100.00 if the City shall ever cease management <br /> and operation of a City theater on the Property or fifty years from the date of this Agreement, <br /> whichever comes first."; and <br /> WHEREAS, the District wishes to have the Amador Theater returned to the District; and <br /> WHEREAS, District and City agree to cooperate for advance notice to the City if the Amador <br /> Theater is decommissioned so that any community theater events can be timely discontinued, <br /> and the City can remove personal property and equipment from the Amador Theater. <br /> NOW, THEREFORE, in consideration of the mutual promises and agreements <br /> contained herein, the Parties agree as follows: <br /> 1 <br />
