2 <br /> <br />5008 regarding the set-up, operation and removal of Licensee’s blood drive on the <br />dates specified in Section 1. <br />ii. City staff direction. City staff may direct Licensee regarding the location of <br />Licensee’s vehicles and signs during the blood drives. <br /> <br />3. No License Fee. This License requires no fee. <br /> <br />4. Term of License. <br /> <br />a. The term of this License shall be on September 4, 2024 for only the date specified in <br />Section 1. City may terminate this License in City’s absolute discretion with forty-eight <br />(48) hours’ notice. <br /> <br />b. Licensee’s obligation under Section 8 (“Indemnity”) shall survive the termination of this <br />License. <br /> <br />5. Limitations. <br /> <br />a. This License is non-exclusive. City shall have all reasonable and necessary rights of entry <br />to the Licensed Area, including the right to alter, repair, maintain, or access other City- <br />owned property. City staff, contractors, agents, volunteers and other members of the <br />public may also use Amador Valley and Bernal Community parks for recreational <br />activities and parking during the term of the License. <br /> <br />b. Licensee agrees to accept this license to the Licensed Area on an “as-is” basis and City <br />has no obligation to maintain or repair the Licensed Area during the term of this License. <br /> <br />c. Licensee shall be solely responsible for any damage or loss to Licensee’s, its employees’ <br />or invitees’ vehicles resulting from theft or vandalism or resulting from any other cause. <br />City shall not be responsible for any loss or damage suffered by Licensee (including <br />direct or indirect loss or damage, or incidental or consequential loss or damage) resulting <br />from any damage to Licensee’s, its employees’ or invitees’ vehicles or loss of use thereof <br />suffered in connection with this License. <br /> <br />d. Licensee, its employees and invitees shall not deposit waste, litter and other items in the <br />Licensed Area. Any such items placed, left or discarded in the Licensed Area by <br />Licensee, its employees or invitees shall be promptly removed and disposed of by <br />Licensee at its Palo Alto location. <br /> <br />6. Violations of Permitted Use. Should Licensee, its employees or invitees violate the terms of <br />this License, City may direct Licensee, at Licensee’s sole cost, to take remedial action, as <br />City may determine to be reasonably appropriate. <br /> <br />7. Acknowledgement of Title. It is understood and agreed that Licensee, by the acceptance of <br />this License and by the use or occupancy of the Licensed Area, has not acquired and shall not <br />acquire hereafter any property rights or interest in or to the Licensed Area through this <br />License, and that Licensee may use the Licensed Area only as herein provided. <br /> <br />Docusign Envelope ID: F0658C2C-1AC0-4997-AEA6-DAB640E049E3
