<br />REIMBURSEMENT AGREEMENT <br />FOR ENVIRONMENTAL-RELATED REVIEW <br /> <br /> <br />This Reimbursement Agreement for preparation of a VMT and LTA analysis <br />(“Agreement”) is entered into on August 13, 2024, between the City of Pleasanton, a general law <br />city (“City”) and Trumark Homes (“Applicant”). <br /> <br />RECITALS <br /> <br />A. Applicant owns or has an interest in 1 Vineyard Avenue, Pleasanton, California (the <br />“Property”) upon which Applicant is proposing to construct 27 new homes, each including an <br />Accessory Dwelling Unit (the “Project”). <br /> <br />B. On August 13, 2024, City authorized work with Hexagon Transportation Consultants, <br />Inc. (Consultant) for the preparation of the VMT and LTA analysis. <br /> <br />C. Applicant agrees to reimburse City for the cost of such Consultant services and charges <br />in the City’s Master Fee Schedule. <br /> <br />NOW, THEREFORE, in exchange for valuable consideration, the parties agree as follows: <br /> <br />1. Reimbursement of Third-Party Consulting Costs and Charges in Master Fee <br />Schedule. A list of the third-party consultants proposed to be retained by the City to prepare the <br />CEQA documentation related to the Project, together with a description of the proposed scope of <br />work and estimate of costs for each third-party consultant, is attached hereto (and incorporated <br />herein as if set forth in full) as Exhibit A (the “Eligible Consulting Costs”). During the term of <br />this Agreement, Applicant agrees to reimburse City for the Eligible Consulting Costs, plus the <br />twenty-five percent (25%) charge in the Master Fee Schedule for City staff review of consultant’s <br />cost for the work. <br /> <br />2. Time and Manner of Reimbursement. Payment for Eligible Consulting Costs plus <br />charges shall be made as follows: (a) Applicant shall make a $48,750 payment (the “Deposit”) to <br />the City when the City executes an agreement for Eligible Consulting Costs; (b) in the case of <br />additional services being necessary and agreed-upon by Applicant and the City, such additional <br />costs and charges shall be paid within thirty (30) days of the Applicant’s receipt of an invoice <br />from the City. All invoices shall be provided by City pursuant to the notice requirements of <br />Section 6, below.
