9 4141352.1 <br /> <br />4197282.1 <br />Zone 7 will provide schedule status updates at project team meeting, Steering Committee <br />meetings, and Governing Body meetings. <br />If significant changes to sequencing or durations occurs, the project team will provide an update <br />to the initial project schedule. If schedule adjustments go beyond the target completion date of Spring <br />2025, review will be required by the Steering Committee. <br />7. Record Retention: <br />Both Zone 7 and the City have equal access and rights to the work product provided by the <br />contractor / consultant for Phase I. Upon request, the City will be provided with a complete copy of the <br />project files. <br />8. Term and Termination: <br />This Agreement shall be effective on the date of execution and shall be effective until December <br />31, 2025, however, if a claim arising under, or with respect to, the terms of this Agreement has not been <br />resolved when this Agreement terminates, or if such a claim is brought after this Agreement has terminated <br />but within the period of time for brining such a claim under California law, the provisions of Sections 11 and <br />12 shall continue in full force and effect for such additional period of time as is necessary to resolve such <br />claim and to satisfy the rights and obligations of the Parties hereto with respect to it pursuant to such Sections. <br />The parties may mutually agree to extend the term per amendment as described in Section 9 herein. <br />Either party may terminate this Agreement upon thirty (30) days written notice to the other party. If <br />the Agreement is so terminated, each party shall pay its share for the work either; 1.) actually completed <br />and/or 2.) under contract at the time the notice of termination is received. <br />9. Amendments: <br />Any amendment, modification, or cancellation of this Agreement must be in writing and signed by <br />the General Manager of Zone 7 and the City Manager of the City. <br />10. Notice: <br />Any notices required or permitted to be given hereunder shall be given in writing and shall be <br />delivered by U.S. Mail, with a courtesy copy provided by e-mail.
