PROFESSIONAL SERVICES AGREEMENT <br />THIS PROFESSIONAL SERVICES AGREEMENT (“Agreement”) is entered into this First <br />day of July 2024, between the CITY OF PLEASANTON, a municipal corporation (“City”), and Aqua <br />Backflow, Inc., an Illinois Corporation, whose address is 977 Elizabeth Street, Elgin, IL 60120 and <br />telephone number is 847.742.2296 (“Consultant”). <br />RECITALS <br />A.Consultant is qualified to and experienced to provide remote software/data input, <br />software maintenance and management services for cross connection control data management, <br />backflow preventer and tester tracking, and public information services for the purposes <br />specified in this Agreement. <br />B.City finds it necessary and advisable to use the services of the Consultant for the <br />purposes provided in this Agreement. <br />NOW THEREFORE, in consideration of the mutual covenants and conditions in this <br />Agreement, City and Consultant agree as follows: <br />1.Consultant’s Services. Subject to the terms and conditions set forth in this Agreement, Consultant <br />shall provide to City the services described in the Cross Connection Control Program Services Option <br />#2 and associated Scope of Services, as set forth in Exhibit A. Consultant shall provide said services at <br />that time, place and in the manner specified in Exhibit A. <br />2.City Assistance, Facilities, Equipment and Clerical Support. Except as set forth in Exhibit A, <br />Consultant shall, at its sole cost and expense, furnish all facilities and equipment that may be required <br />for furnishing services pursuant to this Agreement. City shall furnish to Consultant only the facilities <br />and equipment listed in Exhibit A according to the terms and conditions set forth in Exhibit A. <br />3.Terms. This contract shall commence on July 1, 2024 and will expire three years from the date <br />written above on June 30, 2027. <br />4.Compensation. Consultant shall charge customers $60 per submission of testing results for a <br />backflow prevention device. Of the $60 collected, Consultant shall retain $9.95 per test/device plus <br />$1.76 (which represents a 3.5% fee to cover credit card processing fees) and shall submit the remaining <br />amount ($49.29 per test/device) to the City. Consultant shall forward payments to the City on a monthly <br />basis, and within one month of receiving payment from customers. Consultant shall not charge the City <br />for collecting test results on any of its backflow prevention devices. The maximum compensation for <br />services and reimbursement costs that the Consultant shall receive during this 3-year term shall not <br />exceed $99,500. <br />5.Sufficiency of Consultant’s Work.
