<br />4 <br /> <br />City shall indemnify, defend, and hold harmless the District and its Board and members <br />thereof, employees, agents, and representatives, from and against any claims for damages <br />resulting from the inaccuracy of any of the above representations. <br /> <br />5. Covenants. The City covenants that it shall not permit any new liens, encumbrances, or <br />easements to be placed on the Property; nor shall the City enter into any agreement regarding <br />the sale, rental, management, repair, improvement, or any other matter affecting the Property <br />that would be binding on the District or the Property after reconveyance. <br /> <br />6. Scheduling and Removal of City Property. <br /> <br />a. In recognition of the City’s advance scheduling of theater events, the District agrees <br />to continue to allow City to use the property until August 31, 2024. <br /> <br />b. The City may store its personal property and equipment on the Property as outlined in <br />Exhibit B. However, upon 60 days advance notice by District, City shall remove <br />such personal property and equipment. <br /> <br />c. The Parties agree to cooperate to allow the City, its contractors and agents, entry onto <br />the Property and into Amador Theater to remove City personal property, equipment, <br />and improvements that the City installed at the Amador Theater. <br /> <br /> <br />7. This Agreement shall be governed by and interpreted under the <br />laws of the State of California, with venue being the Superior Court of the State of California <br />for Alameda County. <br /> <br />9. Successors and Assigns. The terms and provisions of this Agreement shall extend to and be <br />binding upon and inure to the benefit of the successors and permitted assigns of the <br />respective Parties; provided, however, that neither Party shall have the right to assign its <br />rights or obligations under this Agreement without express written approval of the other <br />Party. <br /> <br />Page 51 of 454
