35 <br />4859-3312-3005v3 <br />ARTICLE 16. <br />TRANSFERS <br />Section 16.1 Restrictions on Transfer. The Regulatory Agreement (i) sets forth certain <br />restrictions on the Transfer of the Project and Lessee’s interest in the Property, and on changes in <br />the ownership and control of Lessee, and (ii) describes requirements for proposed Transfers. <br />Lessee shall comply with all such restrictions and requirements, including without limitation the <br />requirement that any approved transferee shall assume the rights and obligations of Lessee under <br />this Lease, the Regulatory Agreement, and the other City Documents pursuant to a written <br />instrument satisfactory to Lessor and recorded in the Official Records. <br />ARTICLE 17. <br />MISCELLANEOUS PROVISIONS <br /> <br /> Section 17.1 Notices. All notices, requests, demands, or other communications required <br />or permitted to be given hereunder shall be in writing and shall be addressed and delivered by <br />certified mail, return receipt requested; by reputable commercial delivery service; or by hand <br />delivery by a reputable courier, to each Party at the addresses set forth below. Any such notice, <br />request, demand or other communication shall be considered given or delivered, as the case may <br />be, on the date shown on the delivery receipt as the date of delivery, the date delivery was <br />refused or the date the item was returned as undeliverable.
