Docusign Envelope ID:4C8AAAA7-A908-4E09-B843-17295C8229E4 AMENDMENT NO.1 TO THE INFOSEND MASTER SERVICE AGREEMENT This Amendment No.1 to the |nfoSend Master Service Agreement is entered into on __May 7,2024 (the ”Effective Date”)by and between The City of Pleasanton,CA ("C|ient”),and Infosend,Inc.("lnfoSend").Client and lnfoSend are sometimes referred to herein individually as a ”party”and collectively as the "parties/’ RECITALS WHEREAS,Client and Infosend have entered into the Infosend Master Service Agreement,dated May 18”‘,2023,for the purpose of providing Data Processing,Printing and Mailing Services ("DPPM Services”)(the "Master Agreement”);and WHEREAS,the Parties now desire to amend the Master Agreement for the purpose of revising item 12.8 Compensation. NOW,THEREFORE,in consideration of the above recitals and the mutual covenants,conditions,and promises contained in the Master Agreement,the Parties mutually agree as follows: 1.INCORPORATIONOF RECITALS: 1.1 The recitals listed above are true and correct and are hereby incorporated herein by this reference. 2.AMENDMENT TERMS: 2.1 Section 12.8 Compensation shall now reflect a not to exceed amount of $99,999,as follows: 12.8 Compensation.Total compensation pursuant to this agreement shall not exceed $99,999 for the term of this Agreement.Rates shall be as set forth in Exhibit B. 2.2 Except as amended by this Amendment No.1,all other terms,conditions,and provisions of the Master Agreement shall remain in full force and effect and shall govern the actions of the parties under this Amendment No.1. 2.3 The Parties hereto hereby agree that electronic signatures are acceptable and shall have the same force and effect as original wet signatures. 2.4 This Amendment No.1 may be signed in counterparts,each of which shall constitute an original.
