ATTACHMENT 1 <br />Second Amendment Page 1 <br />SECOND AMENDMENT TO AGREEMENT <br /> <br /> <br />This Second Amendment to Agreement is entered into this 7th day of May, 2024 by the <br />City of Pleasanton ("City") and St. Francis Electric ("Contractor”) <br /> <br />Whereas, on July 1, 2021 the City and Contractor entered into Traffic Signal <br />Maintenance Agreement for traffic signal maintenance services ("Agreement"); and <br /> <br />Whereas, the agreement allows for two one-year extensions; and <br /> <br />Whereas, on July 1, 2023 the City and Contractor executed the First Amendment <br />to the agreement to extend the term of the agreement to expire on June 30, 2024; and <br /> <br />Whereas, the parties desire to extend the term of the Agreement; and <br /> <br />Whereas, the parties desire to amend the Agreement to update rates based on <br />Consumer Price Index increases, and to the clarify the total annual “not to exceed” <br />amount of the contract. <br /> <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br /> <br />1. A. Section 2 of the Agreement, "Compensation" is amended to read: <br /> <br /> The total annual compensation payable to Contractor by City for the services <br />under this Agreement SHALL NOT EXCEED $500,000. This includes the monthly flat <br />rate fee of $136.24 PER INTERSECTION, $65.40 PER BEACON & IN-PAVEMENT <br />LIGHTS and any additional authorized extra work (pursuant to Paragraph 5). The <br />pricing for the additional authorized extra work is set forth in Exhibit D – Proposal Price <br />Comparison (FY 24-25). <br /> <br />B. Exhibit D - Proposal Price Comparison of the Agreement is replaced with <br />Exhibit D - Proposal Price Comparison (FY 24-25) <br /> <br />C. Section 3 of the Agreement, “Term” is amended to read: <br /> <br /> The term of this Agreement shall be extended until June 30, 2025 <br /> <br />D. Section 5 of the Agreement, “Extra Work” is amended to read: <br /> The City shall pay Contractor for City authorized extra work detailed in <br />Attachment C - Scope of Work, included within the services described in Paragraph 1 <br />and such amounts as mutually agreed to in advance. Unless the City and Contractor <br />have agreed in writing before the performance of extra work, no liability and no right to <br />claim compensation for such extra work or expenses shall exist.
