<br />FOURTH AMENDMENT TO AGREEMENT
<br />
<br />
<br />This Fourth Amendment to Agreement ("Fourth Amendment") is entered into this 7th day of May 2024
<br />by the City of Pleasanton ("City") and Consor North America, Inc. (formally known as Quincy
<br />Engineering) ("Consultant”).
<br />Whereas, on August 15, 2017, the City and Consultant entered into a Professional Services
<br />Agreement for engineering services necessary to design and create biddable construction documents for
<br />the Hopyard Road and Owens Drive intersection improvements ("Agreement"); and
<br />
<br />Whereas, the August 15, 2017, the Agreement was for a not-to-exceed amount of $158,928 with
<br />a term of April 30, 2019; and
<br />
<br />Whereas, on October 06, 2020, the First Amendment to the Agreement was made which
<br />increased the total compensation to a not-to-exceed amount of $258,358 and extended the term of the
<br />contract to December 31, 2021; and
<br />
<br />Whereas, on December 6, 2021, the Second Amendment to the Agreement was made, extending
<br />the term to June 30, 2023; and
<br />
<br />Whereas, on June 30, 2023, the Third Amendment to the Agreement was made, extending the
<br />term to December 31, 2024; and
<br />
<br />Whereas, the parties desire to amend the Agreement, adding to the Scope of Work “Exhibit A”
<br />the proposal from Consor North America, Inc. dated March 29, 2024; and
<br />
<br />Whereas, the parties desire to amend the Agreement, increasing the fee for services from
<br />$258,358 to $378,213.
<br />
<br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged,
<br />the parties agree as follows:
<br />
<br />1. Section 1 of the Agreement, "Consultant’s Services” is amended to include to Exhibit:
<br />“A”, Scope of Work for additional design work and construction support services.
<br />
<br />2. Section 3 of the Agreement, " Term" is amended to read:
<br />Term of the Agreement is extended to December 31, 2025.
<br />
<br />3. Section 5 of the Agreement, “Compensation” is amended to read:
<br />Total compensation for services and reimbursement for costs shall not exceed $378,213
<br />unless parties agree pursuant to Section 8, below.
<br />
<br />4. All other terms and conditions of the Agreement shall remain in full force and effect.
<br />
<br />5. This amendment may be executed in multiple counterparts, each of which shall be an
<br />original and all of which together shall constitute one agreement. Counterparts may be
<br />delivered via facsimile, electronic mail (including pdf or any electronic signature
