<br />-20- <br />effect of this Agreement. All references herein to “Articles,” “Sections” and other subdivisions <br />are to the corresponding Articles, Sections or subdivisions of this Agreement; the words <br />“herein,” “hereof,” “hereby,” “hereunder” and other words of similar import refer to this <br />Agreement as a whole and not to any particular Article, Section or subdivision hereof; and <br />words of the masculine gender mean and include words of the feminine and neuter genders. <br /> <br />SECTION 8.7. Payment on Non-Business Days. Whenever any payment is required <br />to be made hereunder on a day that is not a Business Day, such payment shall be made on the <br />immediately preceding Business Day. <br /> <br />SECTION 8.8. Execution of Counterparts. This Agreement may be executed in any <br />number of counterparts, each of which will for all purposes be deemed to be an original and all <br />of which together constitute but one and the same instrument. Digital signatures or other <br />electronic indication of execution of this Indenture shall be treated the same and have the same <br />legally binding and enforceable effect as original manual signatures. <br /> <br />SECTION 8.9. Waiver of Personal Liability. No member of the City Council, officer, <br />agent or employee of the City has any individual or personal liability for the payment of <br />Installment Payments or Additional Payments or be subject to any personal liability or <br />accountability by reason of this Agreement; but nothing herein contained relieves any such <br />member of the City Council, officer, agent or employee from the performance of any official duty <br />provided by law or by this Agreement. <br /> <br />SECTION 8.10. Trustee as Third Party Beneficiary. The Trustee is hereby made a <br />third party beneficiary hereof and is entitled to the benefits of this Agreement with the same <br />force and effect as if the Trustee was a party hereto.
