First Amendment Page 1 <br />FIRST AMENDMENT TO AGREEMENT <br /> <br /> <br />This First Amendment to Agreement ("First Amendment") is entered into this 25 day of March <br />2024, by the City of Pleasanton ("City") and Axis Community Health ("Contractor”). <br /> <br />Whereas, on November 13, 2023 the City and Contractor entered into an Agreement for <br />Services for Contractor to provide healthcare services to the sheltered/unsheltered unhoused <br />("Agreement"); and <br /> <br />Whereas, the City and Contractor seek to modify the Statement of Work (Exhibit A), <br />extend the term, and provide additional compensation. <br /> <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br /> <br />1. Section 1 of the Agreement, “Services to be performed” is modified to include the <br />services shown in attached Exhibit A – Statement of Work (SOW): Axis Community <br />Health and City of Pleasanton Revised for May to November 2024. <br /> <br />2. Section 2 of the Agreement, "Term" is amended to read: The term is extended by six <br />months to November 9, 2024. <br /> <br />3. Section 3 of Agreement, “Compensation” is amended to read: City shall pay <br />Contractor as follows: $350.00 a week from May 11, 2024, to November 9, 2024. <br />Maximum compensation during this extended term will not exceed $10,000. <br /> <br />4. This amendment may be executed in multiple counterparts, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterparts may <br />be delivered via facsimile, electronic mail (including pdf or any electronic signature <br />complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), <br />California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or <br />other applicable law) or other transmission method, and any counterpart so delivered <br />shall be deemed to have been duly and validly delivered and be valid and effective for <br />all purposes. <br /> <br />5.
