This specialization allows us to orient our practice to <br /> the peculiar requirements of public finance, without the need to suit other, unrelated areas of the <br /> legal business. The firm has consistently ranked as one of the top three bond counsel and <br /> disclosure counsel firms in California (based on the number of transactions) over the last ten <br /> years. Given our relatively small size compared to the firms that rank above us, we are <br /> extremely proud of this achievement. <br /> We are particularly proud of our Closing Department, as it fully demonstrates the firm's <br /> commitment to tailor our practice to the requirements of the municipal bond business. Our <br /> closing coordinators assist the attorneys in all pre-closing, closing and post-closing logistics, <br /> and greatly alleviate the stress and strain that is typical of many bond closings. As each bond <br /> issuance approaches a closing, we would assign one of the paralegals from our Closing <br /> Department to assist in handling the logistics of closing the financing, in a seamless manner. <br /> Jones Hall has extensive experience in nearly all areas of public finance, and is well <br /> suited to provide bond counsel and disclosure counsel services to the City of Pleasanton in <br /> connection with its planned water system financing, as well as any other municipal bond matters <br /> that may be undertaken by the City in the future. <br /> A. SPECIFIC DESCRIPTION OF FIRM'S RECENT RELEVANT EXPERIENCE <br /> Jones Hall has reviewed the "Scope of Services" described in the Request for Proposal <br /> and confirms that it can perform all the selected activities, all of which are a part of our everyday <br /> practice — consultation, advice, and document drafting related to municipal bonds. We pride <br /> ourselves in recommending advantageous public financing mechanisms and prioritizing options <br /> in the best interest of the City from a legal, financial, and practical perspective. As requested, <br /> our services for you would include counsel and legal work for proper debt authorization; <br /> rendering legal opinions as to validity of bond issuances (including issuing and approving legal <br /> opinions on taxability of bonds and determining qualified tax-exempt obligation status); <br /> preparing bond resolutions; preparing and finalizing bond disclosure statements; and providing <br /> general advice as to financing public works and other related work you may request. <br /> In particular, we understand the City anticipates undertaking a debt financing of 11 <br /> million to 13 million in March/April 2024 to finance water projects in connection with per-and <br /> polyfluoroalkyl substances (PFAS). <br /> Assigned Personnel. Our approach to providing the Bond Counsel and Disclosure <br /> Counsel services described above would be to rely on our years of experience and collaborative <br /> staffing approach to provide two shareholder-partners on the City's bond financing matters <br /> (James Wawrzyniak and Dave Fama).
