9. Program Reports: The Contractor shall undertake quantitative and qualitative <br /> evaluation of the Statement of Work as specified in the Agreement and shall make <br /> Midterm and Final reports to the City via the online reporting system due as indicated the <br /> Application Packet or as otherwise specified by the City. <br /> 10. Alteration Of Agreement: No alteration or variation of the terms of the Agreement shall <br /> be valid unless made in writing and signed by the City and the Contractor, and no oral <br /> understanding or agreement not incorporated in this Agreement shall be binding on either <br /> party. <br /> 11. Termination: The City may terminate this Agreement should Contractor fail to <br /> substantially perform the covenants herein contained or upon thirty (30) days written <br /> notice. Contractor shall be compensated for services performed to the termination date. <br /> Contractor may terminate the Agreement upon thirty (30) days written notice. Contractor <br /> shall be compensated for the period during which the Agreement was in effect at a pro <br /> rata share of the total grant provided for in this Agreement. <br /> 12. Counterparts and Electronic Signatures. This Agreement may be executed in multiple <br /> counterparts, each of which shall be an original and all of which together shall constitute <br /> one agreement. Counterparts may be delivered via facsimile, electronic mail (including <br /> pdf or any electronic signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. <br /> Code §7001 et seq.), California Uniform Electronic Transactions Act (Cal.
