FOR OFFICE USE ONLY <br /> ❑ Addendum(if required) <br /> THE CITY OF ❑ Certificate of Insurance <br /> ❑ Workers Comp.(if required) <br /> ® —.. ■ m: a �i�� 1t <br /> PLEASANTON© <br /> Community Grant Contractor Agreement <br /> Fiscal Year 2023/24 <br /> This Agreement is made and entered into this 1St day of July, 2023 by and between the City <br /> of Pleasanton, a Municipal Corporation (the "City"), and East Bay Musical Society <br /> ("Contractor"). <br /> The City is contracting with the Contractor for the provision of certain services, a description of <br /> which is presented in Exhibit A, attached hereto. <br /> 1. Statement of Work: Contractor shall perform or arrange for the performance of the work <br /> under this Agreement in the manner and time provided herein and in accordance with: <br /> the budget; the scope of work and any specifications and drawings; and all related <br /> documents and provisions attached hereto as Exhibit A and incorporated herein by <br /> reference. <br /> 2. Grant Award Amount: The City has allocated the sum of$6,500 in City General Funds <br /> to be expended as described in this contract. Unless an amendment to this contract <br /> otherwise provides, that amount shall in no event be exceeded by the Contractor, and the <br /> City shall under no circumstances be required to pay in excess of that amount. Payment <br /> shall be made subject to the terms and conditions set forth in Section 3: Funding <br /> Requirements and Limitations in the Community Grant Application Packet. No funds shall <br /> be used towards administrative staff and overhead expenses, including staff leave (sick, <br /> vacation, etc.). Sums not so paid shall be retained by the City. <br /> 3. Term: Services/project rendered pursuant to this Agreement will be implemented and <br /> completed between the periods of July 1, 2023 through June 30, 2024. No funds <br /> expended prior to July 1, 2023 or after June 30, 2024 will be reimbursed. <br /> 4. Records: Contractor shall maintain records for project review, evaluation, audit and/or <br /> other purposes and make them available to the City upon request. Such records shall be <br /> kept on file for a minimum of five years. Records shall be made available to the authorized <br /> representative of the City at any time during normal business hours. <br /> 5. Ownership and Use of Documents: All client information files are the property of the <br /> Contractor and shall be maintained in a confidential manner. All reports, records and <br /> statistics developed in connection with this Agreement are the property of the City, with <br /> the exception of client records and provider files. The Contractor shall have full use of <br /> the reports, records and statistics. <br /> 6. Indemnity: Contractor agrees to indemnify, defend and hold harmless the City of <br /> Pleasanton, its officers, agents, employees and volunteers from and against any and all <br />
