Contract #2022213 Second Amendment Page 1 SECOND AMENDMENT TO AGREEMENT This Second Amendment to Agreement ("Second Amendment") is entered into this _WK_ day of December 2023, by the City of Pleasanton ("City") and GHD Inc.("Consultant”). Whereas, on July 30, 2021, the City and Consultant entered into a Professional Services Agreement for workflow development and integration for a Computerized Maintenance Management System – CMMS, which was amended on July 1, 2023, by the First Amendment to extend the term through June 30, 2024 (collectively the "Agreement"); and Whereas,the parties desire to add additional services and increase the total compensation. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 1 of the Agreement (Consultant’s Services) is amended to continue and expand the Scope of Work for the Task PM, the work order integration and configuration (Task 6), Staff Training (Task 7) and as-needed services for consulting and troubleshooting (new Task 8). 2. Section 4 of the Agreement (“Compensation”) the total compensation has been increased to $616,622, which includes a fifteen percent contingency fee for the additional services, for the for the remaining term of the Agreement, due to the continued work and expansion of the tasks. Attached and incorporated in this Amendment is an additional breakdown that captures these added services (Exhibit A.2) 4. This Second Amendment may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. Counterparts may be delivered via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission method, and any counterpart so delivered shall be deemed to have been duly and validly delivered and be valid and effective for all purposes. 5. All other terms and conditions of the Agreement shall remain in full force and effect.
