Amendment to Services Agreement Page 1 <br />AMENDMENT TO SERVICES AGREEMENT <br /> <br /> <br />This Amendment to Services Agreement ("Amendment") is entered into this 28 th day of <br />November 2023 by the City of Pleasanton ("City") and Traliant Holdings, LLC ("Contractor”). <br /> <br />Whereas, on November 16, 2020, the City and Contractor entered into a Services <br />Agreement for online harassment and discrimination prevention training, as amended on or about <br />December 2, 2021, and further amended November 30, 2022 (collectively the "Agreement"); and <br /> <br />Whereas, the parties desire to further extend the term of the Agreement and also have <br />Contractor provide Violence Prevention Training. <br /> <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br /> <br />1. The Contractor shall provide the services described in Exhibit A Order Form, and <br />Exhibit B Statement of Work, at the prices set forth therein, attached hereto and incorporated <br />herein by this reference. <br /> <br />2. The term of the Agreement is extended to December 31, 2024. <br /> <br />3. This Amendment may be executed in multiple counterparts, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterparts may be delivered <br />via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. <br />federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic <br />Transactions Act (Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission <br />method, and any counterpart so delivered shall be deemed to have been duly and validly <br />delivered and be valid and effective for all purposes. <br /> <br />4.
