Second Amendment Page 1 <br />SECOND AMENDMENT TO AGREEMENT <br /> <br /> <br />This Second Amendment to Agreement ("Second Amendment") is entered into this 23rd day of <br />October 2023 by the City of Pleasanton ("City") and CLIFFORD MOSS, LLC ("Consultant”). <br /> <br />Whereas, on May 1, 2023, the City and Consultant entered into Professional Services <br />Agreement for community research and engagement services ("Agreement"); and <br /> <br />Whereas, on July 25, 2023, the parties entered into a First Amendment to Agreement to <br />extend the term and increase the compensation. <br /> <br />Whereas, the parties desire that the term again be extended and compensation increased. <br /> <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br /> <br />1. Section 3 of the Agreement, "Term" is amended to read: This Agreement shall <br />commence on May 1, 2023, and shall expire on December 31, 2023. <br /> <br />2. Section 4 of the Agreement, “Compensation” is amended to read: City shall pay <br />Consultant for services rendered pursuant to this Agreement as described more <br />particularly in Exhibit A, attached to the original Agreement. The payments shall be <br />made on a monthly basis upon receipt and approval of Consultant’s invoice. Total <br />compensation for services and reimbursement for costs shall not exceed $100,000.00. <br />The increase in compensation is to allow for the consultant to continue their work in <br />Phase 2 for an additional two (2) months at the rate of $7,500.00 per month plus any <br />approved business expenses. <br /> <br />3. This amendment may be executed in multiple counterparts, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterparts may <br />be delivered via facsimile, electronic mail (including pdf or any electronic signature <br />complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), <br />California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or <br />other applicable law) or other transmission method, and any counterpart so delivered <br />shall be deemed to have been duly and validly delivered and be valid and effective for <br />all purposes. <br /> <br />4.
