Second Amendment Page 1 SECOND AMENDMENT TO AGREEMENT This Second Amendment to Agreement ("Second Amendment") is entered into this 23rd day of October 2023 by the City of Pleasanton ("City") and CLIFFORD MOSS, LLC ("Consultant”). Whereas, on May 1, 2023, the City and Consultant entered into Professional Services Agreement for community research and engagement services ("Agreement"); and Whereas, on July 25, 2023, the parties entered into a First Amendment to Agreement to extend the term and increase the compensation. Whereas, the parties desire that the term again be extended and compensation increased. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 3 of the Agreement, "Term" is amended to read: This Agreement shall commence on May 1, 2023, and shall expire on December 31, 2023. 2. Section 4 of the Agreement, “Compensation” is amended to read: City shall pay Consultant for services rendered pursuant to this Agreement as described more particularly in Exhibit A, attached to the original Agreement. The payments shall be made on a monthly basis upon receipt and approval of Consultant’s invoice. Total compensation for services and reimbursement for costs shall not exceed $100,000.00. The increase in compensation is to allow for the consultant to continue their work in Phase 2 for an additional two (2) months at the rate of $7,500.00 per month plus any approved business expenses. 3. This amendment may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. Counterparts may be delivered via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission method, and any counterpart so delivered shall be deemed to have been duly and validly delivered and be valid and effective for all purposes. 4. All other terms and conditions of the Agreement shall remain in full force and effect.
