CITY COUNCIL OF THE CITY OF PLEASANTON ALAMEDA COUNTY, ALAMEDA RESOLUTION NO. 04-087 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PLEASANTON APPROVING A LEASE AGREEMENT, A SITE LEASE, A TRUST AGREEMENT, A CONTINUING DISCLOSURE AGREEMENT, AN ESCROW AGREEMENT, A NOTICE OF SALE, A TERMINATION AGREEMENT AND AN OFFICIAL STATEMENT; MAKING CERTAIN DETERMINATIONS RELATING THERETO; AND AUTHORIZING CERTAIN OTHER ACTIONS IN CONNECTION THEREWITH WHEREAS, the City of Pleasanton (the "City") is a municipal corporation duly organized and validly existing under the laws of the State of California; and WHEREAS, the City is authorized to lease its property to finance and refinance public capital improvements, including those improvements constituting the Leased Property (as defined below); and the City has determined to enter into a Lease Agreement with the Pleasanton Joint Powers Financing Authority (the "Authority") pursuant to which the City will lease the Leased Property from the Authority; and WHEREAS, under and pursuant to such Lease Agreement, the City will be obligated to make certain lease payments to the Authority; and the City has determined that it would be in the best interests of the City and the citizens of the community to authorize the preparation, execution and delivery of its Certificates of Participation, Series 2004 (Refunding Project) (the "Certificates"), in a principal amount sufficient to refinance its obligations relating to those certain Pleasanton Joint Powers Financing Authority Refunding Lease Revenue Bonds, 1994 Series B (the "1994 Obligations"), which Certificates shall be payable from, among other sources, payments made by the City under and pursuant to such Lease Agreement, all under and in accordance with the laws of the State of Califoruia; and WHEREAS, there have been presented at this meeting forms of a Lease Agreement, a Trust Agreement, a Site Lease, an Escrow Agreement, a Termination Agreement, a Notice of Sale, a Memorandum of Lease, a Continuing Disclosure Agreement and a Preliminary Official Statement (as defined herein). NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF PLEASANTON RESOLVES AS FOLLOWS: Section 1: Approval of Lease Agreement. The form of Lease Agreement, currently dated as of December 1, 2004 (the "Lease Agreement"), including the form of a Memorandum of Lease, by and between the City and the Authority, as presented at this meeting is hereby
