Exhibit B <br /> REVENUE SHARING AGREEMENT <br /> BY AND BETWEEN THE CITY OF LIVERMORE <br /> AND THE CITY OF PLEASANTON <br /> (LIVERMORE-PLEASANTON FIRE DEPARTMENT JOINT POWERS AUTHORITY <br /> FIRE PROTECTION SERVICES TO THE <br /> DEPARTMENT OF VETERANS AFFAIRS LIVERMORE MEDICAL CENTER) <br /> THIS AGREEMENT is entered into on this day of , 2023, between the <br /> CITY OF LIVERMORE ("Livermore"), a general law city and municipal corporation, and the CITY <br /> OF PLEASANTON("Pleasanton"), a general law city and municipal corporation, collectively <br /> referred to as the "Parties". <br /> RECITALS <br /> The Livermore-Pleasanton Fire Department Joint Powers Authority("LPFD JPA") is a joint <br /> powers authority created by the cities of Livermore and Pleasanton in 1996 to provide fire <br /> protection services to the communities of Livermore and Pleasanton. <br /> In October 2012, the City Council of the City of Livermore authorized Livermore to enter <br /> into an agreement with the VA Palo Alto Health Care System ("Livermore Veterans Affairs <br /> Medical Center") to allow the LPFD JPA to provide fire protection services to the VA Hospital <br /> located in Livermore. The initial agreement between Livermore and the Department of Veterans <br /> Affairs expired on October 31, 2017, and was renewed for an additional six (6) month period, <br /> which expired on April 30, 2018. <br /> On May 21, 2018, Livermore entered into a new agreement with the Department of <br /> Veterans Affairs, to continue to provide fire protection and emergency response services. The <br /> term of the agreement is one year, with four one-year options to renew ("Options") and was <br /> executed in October of 2018. This contract was extended through October 2023. <br /> LPFD JPA entered into a new contract for emergency Services with the VA("2023/2024 <br /> VA Agreement"). The new contract term is November 1, 2023, through October 31, 2024, with <br /> two one-year options to extend the term of the agreement. <br /> The Parties have agreed to share the revenue generated by the 2023/2024 VA <br /> Agreement, and the Parties wish to provide for a formal process for the transfer of these <br /> revenues from Livermore to Pleasanton. The Parties agree that Livermore and Pleasanton shall <br /> share revenues based on the schedule detailed in Section 2 and Exhibit A of this agreement. As <br /> 100%of the costs of the additional 3 FTE Firefighters will be borne by the City of Livermore, <br /> any and all reimbursements above and beyond the schedule detailed in Section 2 and Exhibit A <br /> of this agreement will be retained by the City of Livermore. Any other modifications to the <br /> agreement and/or payment schedule with the VA will be addressed on a case-by-case basis. <br /> Page 1 of 5 <br />
