ATTACHMENT 2 <br /> AMENDMENT TO OPTION TO LEASE AGREEMENT <br /> This Amendment to Option to Lease Agreement(the"Amendment")is dated for reference <br /> purposes as of July _, 2023 (the "Effective Date"), by and between the City of Pleasanton, a <br /> California municipal corporation (the "City") and Ridge View Commons II Associates, L.P., a <br /> California limited partnership (the "Developer"), with reference to the following facts. The City <br /> and the Developer are each sometimes referred to herein asa "Party" and collectively as the <br /> "Parties". <br /> RECITALS <br /> A. City owns in fee that certain real property (the "Land") located at 5200 Case <br /> Avenue in Pleasanton in Alameda County, California, as more particularly described in Exhibit A <br /> attached hereto. <br /> B. City and Developer entered into that certain Option to Lease Agreement (the <br /> "Option Agreement")dated as of September 17, 2019,pursuant to which City granted Developer <br /> an option to lease the Land. <br /> C. City and Developer e to amend the Option Agreement to extend the term <br /> of the Option Agreement. <br /> NOW, THEREFORE, in consideration of the recitals hereof and other valuable <br /> consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as <br /> follows: <br /> AGREEMENT <br /> 1. Amendments to Option Agreement. <br /> Section 2.a of the Option Agreement is hereby deleted in its entirety and replaced with <br /> the following: <br /> "a. Term. The term of the Option(the"Term") shall be for a period <br /> commencing on the date of this Agreement and ending on December 31, 2026 (the <br /> "Term") unless extended by mutual agreement of the Parties. During the Term, <br /> Developer and City staff agree to negotiate in good faith.to the terms and conditions to be <br /> included in a ground lease of the Land from City to Developer( "Ground Lease") <br /> consistent with this Agreement. The Term of the Option shall end on the date set forth <br /> above or, if earlier, on the effective date of the Ground Lease." <br /> 2. No Other Modifications. In all other respects the Option Agreement are <br /> unmodified and confirmed. <br /> 3. Countervarts/Miscellaneous. This Amendment may be in multiple counterparts, <br /> each of which shall be deemed an original, and all of which together shall constitute one and the <br /> same instrument.
