ATTACHMENT 1 <br /> SECOND AMENDMENT TO AGREEMENT <br /> This Second Amendment to Agreement("Second Amendment") is entered into this day of <br /> 2023 by the City of Pleasanton("City") and Lisa Wise Consulting, Inc. <br /> ("Consultant"). <br /> Whereas, on March 17th, 2021, the City and Consultant entered into a Professional <br /> Services Agreement for services related to the preparation of the 6th Cycle Housing Element <br /> Update ("Agreement"); and <br /> Whereas, the first amendment to the agreement was in November 2022, to increase the contract <br /> by $27,710 to support preparation of additional analysis related to the statutorily required Affirmatively <br /> Furthering Fair Housing (AFFH) section, attend additional hearings, and prepare a revised Housing <br /> Element in response to HCD's first round of comments; and <br /> Whereas, Staff has identified the need for additional consultant work to support the <br /> amendment to the Housing Element, including responding to the California Department of <br /> Housing and Community Development(HCD)which was not anticipated in the original scope of <br /> work; and <br /> Whereas,the parties desire to amend to the Agreement to include this additional scope, <br /> along with a contingency to cover any additional unforeseen work to complete this effort; <br /> Now,therefore, in exchange for valuable consideration, the receipt of which is hereby <br /> acknowledged, the parties agree as follows: <br /> 1. Section 1 of the Agreement, "Consultant's Services" is amended to further include the <br /> services described in Exhibit A to this Second Amendment. Consultant shall provide said <br /> additional services at that time,place, and in the manner specified in Exhibit A; and <br /> 2. Section 3 of the Agreement, "Terms" is amended to extend the expiration date of the <br /> agreement to December 31, 2023; and <br /> 3. Section 4 of the Agreement, "Compensation"is amended to increase the total <br /> compensation by $24,225 for a new not to exceed amount of$353,936. <br /> 4. This amendment may be executed in multiple counterparts, each of which shall be an <br /> original and all of which together shall constitute one agreement. Counterparts may be delivered <br /> via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. <br /> federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic <br /> Transactions Act(Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission <br /> method, and any counterpart so delivered shall be deemed to have been duly and validly <br /> delivered and be valid and effective for all purposes. <br /> 5. All other terms and conditions of the Agreement shall remain in full force and effect. <br /> In witness whereof, authorized representatives of the parties have executed this First <br /> Amendment to the Agreement as of the date first above written. <br /> Second Amendment Page 1 <br />
