ATTACHMENT 1 <br /> SECOND AMENDMENT <br /> TO <br /> AGREEMENT PROVIDING FOR STABILIZATION OF <br /> MOBILEHOME SPACE RENTS <br /> This Second Amendment to Agreement Providing for Stabilization of Mobilehome Space <br /> Rents ("Second Amendment") is entered into this day of 2022 by <br /> PLEASANTON MOBILE HOME PARK, LP, a California limited partnership (successor-in- <br /> interest to Vineyard Mobile Home Villa, LLC and to Daniel Guggenheim) ("Park Owner")and <br /> the CITY OF PLEASANTON, a municipal corporation("City"). <br /> RECITALS <br /> A. On October 16, 2007, the Park Owner and City entered into an Agreement <br /> Providing for Stabilization of Mobilehome Space Rents ("Agreement"). <br /> B. On March 2, 2010,the Park Owner and City entered into a First Amendment to <br /> the Agreement. <br /> C. On March 2, 2010,the City approved a vesting tentative tract map to subdivide <br /> the Vineyard Mobile Villa mobile home park("Park"), located at 3263 Vineyard Avenue, <br /> Pleasanton, California, into 208 air-space condominium units ("Tract 8062"). The Park Owner <br /> filed a final map for Tract 8062 on December 21, 2012. <br /> D. On March 8, 2010,the Park Owner and City entered into a Settlement Agreement <br /> Vineyard Mobile Villa Case Nos. VG09478808 and VG09478803 ("Settlement Agreement"). <br /> E. The Settlement Agreement provides in relevant part that the Park Owner's sale of <br /> the first lot in the Park to a resident buyer("Conversion Date") shall be no earlier than January 1, <br /> 2020. <br /> F. The Park Owner and City wish to enter into this Second Amendment in order to: <br /> extend the term of the Agreement for a period of 10 years; amend the provisions of the <br /> Agreement relating to rent increases upon a transfer of ownership; and provide that the <br /> Conversion Date shall not take place during the term of the Agreement. <br /> Now,therefore, in exchange for valuable consideration, the receipt of which is hereby <br /> acknowledged, the parties agree as follows: <br /> 1. Subsection D of Section IV(Rent Increases Upon a Transfer of Ownership) of the <br /> Agreement is amended and replaced in its entirety to read as follows: <br /> Upon a Transfer of Ownership occurring on or after January 1, 2023,the Park Owner <br /> may establish a new Monthly Rent of$1,600. This amount shall be increased each year, <br /> beginning on January 1, 2024,by the Cost of Living or by 5%over the prior year's <br /> Monthly Rent,whichever is greater. <br /> Second Amendment Page 1 <br />
