EXHIBIT A 5. Ownership and Use of Regional Dublin Trunk Sewer Line. The District shall retain sole ownership and control of the Regional Dublin Trunk Sewer Line. Notwithstanding provisions to the contrary in any supplemental agreement, the Regional Dublin Trunk Sewer Line shall be a Joint Use Facility as that term is defined in the Basic Agreement. 6. Agreement Integration. This Seventh Supplemental Agreement constitutes the entire agreement between the Parties regarding the subject matter hereof, and supersedes any prior oral or written agreements to the extent provide for in Section 3 of this Seventh Supplemental Agreement. Nothing herein contained shall be deemed a limitation upon the Parties to enter into further supplemental agreements. In the event of a conflicting language between this Seventh Supplemental Agreement on the one hand, and the Basic Agreement, or any other prior supplementary agreement or agreements on the other hand, the terms and conditions of this Seventh Supplemental Agreement shall govern. Except to the extent specified herein or modified hereby, all terms, conditions and provisions of the Basic Agreement, as previously supplemented, shall remain in full force and effect. 7. Successors.This Agreement, and the duties, obligations, and rights of the Parties shall be binding upon, and inure to the benefit of,their successors. 8. Indemnification. Either Party agrees to defend, indemnify, and hold the other Party harmless from and against any and all claims, demands, or liability associated with that Party's obligations under this Agreement that may be brought by a third Party. 9. Complete Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the specific purposes expressly listed in Section 3 and supersedes all prior or contemporaneous drafts,agreements and understandings,whether written or oral.This Agreement may be amended by written agreement executed by the Parties. 10.Severability. All provisions of this Agreement are material and collectively indispensable to this Agreement, and if one or more of such provisions are held invalid or otherwise rendered ineffectual or unenforceable, this Agreement will fail to fulfill its purposes and will thereby terminate in its entirety without any further action of any of the parties. 11. Paragraph Headings. Paragraph and subparagraph headings contained herein are for convenience only and shall not be deemed to amend, or affect the interpretation of the paragraph or subparagraphs headed thereby. 3
