ATTACHMENT 2 <br /> FIRST AMENDMENT TO AGREEMENT <br /> This First Amendment to Agreement("First Amendment") is entered into this 19th day of July <br /> 2022, by the City of Pleasanton ("City")and Callander Associates, Inc. ("Consultant") <br /> Whereas, on August 17, 2021,the City and Consultant entered into a Design <br /> Professional Services Agreement for public outreach and skatepark design services <br /> ("Agreement"); and <br /> Whereas, the contract needs to be extended; and <br /> Whereas,the compensation section of the agreement needs to be increased for additional design <br /> services; and <br /> Whereas,the parties desire to amend to the Agreement; <br /> Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br /> acknowledged, the parties agree as follows: <br /> 1. Section 4 of the Agreement, "Term" is amended to read as follows: <br /> This contract shall commence on the date written above and shall expire on February 1, <br /> 2024. <br /> 2. Section 5 of the Agreement, "Compensation" is amended to read: <br /> Total compensation for services and reimbursements shall be increased by <br /> $30,837 for Nevada Street design services, as more particularly described in <br /> Exhibit A, for a total not-to-exceed amount of$266,671 and shall be billed on a <br /> time and materials basis. <br /> 3. This amendment may be executed in multiple counterparts, each of which shall be <br /> an original and all of which together shall constitute one agreement. Counterparts <br /> may be delivered via facsimile, electronic mail (including pdf or any electronic <br /> signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 <br /> et seq.), California Uniform Electronic Transactions Act(Cal. Civil Code §1633.1 <br /> et seq.), or other applicable law) or other transmission method, and any <br /> counterpart so delivered shall be deemed to have been duly and validly delivered <br /> and be valid and effective for all purposes. <br /> 4.
