MISCELLANEOUS AGREEMENTS 4684 13.1 Entire Agreement 4685 This Agreement, including the Exhibits, represents the full and entire Agreement between the Parties with 4686 respect to the matters covered herein, and shall replace and supersede all previous agreements or 4687 understandings whether written or otherwise between the Parties. 4688 13.2 Section Headings 4689 The article headings and section headings in this Agreement are for convenience of reference only and 4690 are not intended to be used in the construction of this Agreement nor to alter or affect any of its 4691 provisions. 4692 13.3 References to Laws 4693 All references in this Agreement to laws shall be understood to include such laws as they may be 4694 subsequently amended or recodified, unless otherwise specifically provided. 4695 13.4 Interpretation 4696 This Agreement shall be interpreted and construed reasonably and neither for nor against either Party, 4697 regardless of the degree to which either Party participated in its drafting. 4698 13.5 Amendment 4699 This Agreement may not be modified or amended in any respect except in writing, signed by the Parties. 4700 13.6 Severability 4701 If any non-material provision of this Agreement is for any reason deemed to be invalid and unenforceable, 4702 the invalidity or unenforceability of such provision shall not affect any of the remaining provisions of this 4703 Agreement which shall be enforced as if such invalid or unenforceable provision had not been contained 4704 herein. 4705 13.7 Counterparts 4706 This Agreement may be executed in counterparts each of which shall be considered an original. 4707 13.8 Exhibits 4708 Each of the Exhibits identified as Exhibits "A" through “O” is attached hereto and incorporated herein and 4709 made a part hereof by this reference. 4710
