Attachment 3 <br /> AGREEMENT BETWEEN <br /> VISIT TRI-VALLEY AND THE CITY OF PLEASANTON TO <br /> ADMINISTER THE TRI-VALLEY TOURISM MARKETING DISTRICT <br /> THIS AGREEMENT, made and entered into this 19th day of April 2022, between <br /> the CITY OF PLEASANTON, a municipal corporation ("City"), and VISIT TRI-VALLEY, a <br /> non-profit corporation ("Corporation"); <br /> RECITALS <br /> WHEREAS, CITY and CORPORATION recognize that it is in the best interests of <br /> CITY and CORPORATION to promote tourism development; <br /> WHEREAS, Section 36600 et seq. of the Streets and Highways Code of the State <br /> of California (hereinafter "Code") authorizes City to establish or maintain a Tourism <br /> Business Improvement District ("District") to promote tourism; <br /> WHEREAS, lodging business owners within the Tri-Valley Area developed a <br /> management district plan (hereinafter "Plan") and submitted signed petitions in support of <br /> the Plan from owners paying more than 50% of the proposed assessments; <br /> WHEREAS, City requested consent from the Cities Dublin and Livermore, Town of <br /> Danville, and the Counties of Alameda and Contra Costa ("Consenting Agencies") to <br /> renew the Tri-Valley Tourism Marketing District within their jurisdictions; <br /> WHEREAS, Consenting Agencies passed resolutions granting consent to the City <br /> to renew the Tri-Valley Tourism Marketing District within their jurisdictions; <br /> WHEREAS, on January 18, 2022, the City Council adopted a Resolution of <br /> Intention (hereinafter "Resolution") to renew the Tri-Valley Tourism Marketing District for <br /> the purpose of providing lodging businesses within the District activities and services as <br /> described in the Plan and Resolution ("District Services"); <br /> WHEREAS, on April 19, 2022, the City Council adopted a Resolution Declaring <br /> Results of Majority Protest Proceedings and Modifying the Management District Plan and <br /> introduced Ordinance No. renewing the Tri-Valley Tourism Marketing District and <br /> levying an assessment on lodging businesses within the District (hereinafter "Ordinance") <br /> effective July 1, 2022; <br /> WHEREAS, the District may be administered by the Corporation pursuant to a <br /> contract between the City and the Corporation as provided for in the Ordinance; <br /> WHEREAS, the Corporation represents lodging business owners within the District <br /> and possesses the capacity to provide District Services; <br /> Page 1 of 8 <br />
