Any decision to defer or suspend construction activities will be made by unanimous <br /> written decision of the principal staff for each Party no later than March 16, 2022. <br /> The Parties agree to cooperate and work diligently to complete the Project in order for <br /> operations of the fill station to begin in April 2022, subject to the water supply and <br /> drought conditions as described herein. <br /> 3. No Party is a contractor or employee to or of any other Party. The Project is a temporary <br /> joint drought and water supply reliability project, with the Parties jointly sharing the <br /> benefits and risks of the Project. <br /> III. TERM <br /> This Agreement is effective as of the date the last signature is affixed and transcribed <br /> above and shall extend through and include December 31, 2027, unless extended further <br /> pursuant to Section VII.B. of this Agreement. <br /> IV. RESIDENTIAL RECYCLED WATER FILL STATION <br /> A. Site Description <br /> 1. For the term of this Agreement, DSRSD shall make available, at its sole cost and <br /> without requiring rent or lease payments from the other Parties, approximately 1.5 <br /> acres of total 12.8 acres of the Gleason Property as the site for the Project. <br /> B. Design <br /> 1. DSRSD will provide planning and design services for the Project with the City of <br /> Livermore providing review and design assistance. <br /> 2. DSRSD will be responsible for obtaining all required permits from City of Dublin <br /> and any other required permits to construct the Project, including authorization <br /> from any State agency as may be required. <br /> 3. The City of Pleasanton shall provide timely review and provide comments and <br /> input on the draft design to DSRSD and City of Livermore. <br /> 4. To the extent reasonably possible while meeting the objectives of the Project, the <br /> Project shall be designed to minimize impacts to: <br /> a. Traffic conditions within the City of Dublin; and <br /> b. The City of Livermore's recycle water supply and staffing; and <br /> c. The City of Pleasanton's road-paving crews. <br /> 5. Each Party will provide available information, including recycle water flows, <br /> available metering infrastructure and facilities, and other available information as <br /> requested by any Party for use in the planning, design, operations, and <br /> maintenance of the Project. <br /> 3 <br />
